TERMS OF SERVICE & END USER LICENSE AGREEMENT

  1. Welcome to Petalz Mosaic

Petalz Mosaic is a private, family-focused platform designed to bring loved ones closer together through meaningful, shared moments. In a world where social media has increasingly shifted away from genuine connection, our mission is to return to what matters most—helping families stay present in each other’s lives in a simple, intentional, and uplifting way. Whether through daily messages, shared memories, or coordinated care, Petalz Mosaic exists to enrich the lives of seniors and strengthen the bonds that matter most.

Families are different. Every relationship, every routine, and every need is different. So we offer different types of accounts and features that help families share moments, stay present in one another’s lives, and coordinate support in a private, trusted space.

These Terms of Service and End User License Agreement (“Terms”) govern your access to and use of the Petalz Mosaic mobile application, website, and related services (collectively, the “Service”), provided by Petalz Mosaic Inc. (“Petalz,” “we,” “us,” or “our”). By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.

  1. The Petalz Mosaic Service

We agree to provide you with the Petalz Mosaic Service. The Service includes the Petalz Mosaic products, features, applications, services, technologies, and software that we provide to help families stay connected and support one another in meaningful ways.

Helping you connect, share, and care

  • Share photos, videos, messages, and updates that bring everyday moments to life.
  • Stay connected through simple, accessible experiences designed for families and seniors.
  • Coordinate support through shared tasks, reminders, and communication tools.
  • Create a private family network (“POD”) where loved ones can stay present in each other’s lives.

Our goal is to strengthen real relationships through shared experiences that matter, whether that is a quick update, a meaningful message, or helping ensure someone feels remembered and supported.

Fostering a positive, private, and safe environment

  • We design the Service to help keep family content private within the relevant POD and according to the sharing choices made in the Service.
  • We use tools, processes, and safeguards intended to help prevent misuse, protect accounts, and address harmful or inappropriate behavior.
  • We may review reports, investigate suspected misuse, and take action to protect users, the Service, and the broader community.

We may remove content, restrict features, suspend accounts, or take other action where we believe it is necessary to enforce these Terms, protect users, or comply with law.

Developing and using technology that supports real-life connection

  • Deliver content reliably across devices and operating systems.
  • Improve performance, accessibility, storage, security, and usability.
  • Support the integrity, functionality, and improvement of the Service over time.

Our focus is not just on technology for its own sake. Our focus is on making technology feel natural, helpful, and human for the families who use Petalz Mosaic.

  1. Accounts, Sponsors, and PODs

3.1 Sponsor Accounts

Certain features of the Service require a paid subscription. The user who purchases a subscription is the “Sponsor.” A Sponsor may invite other users to join the Sponsor’s POD.

  • The Sponsor is responsible for subscription payments and subscription management.
  • The Sponsor may invite, manage, and remove members from the POD, subject to the Service’s features and controls.
  • Access to certain features may depend on the Sponsor maintaining an active subscription.

3.2 POD Members

Invited users (“Members”) may access the Service through a Sponsor’s subscription and may share content or use features made available to them within the POD.

A Member’s access may be limited or ended if the Sponsor cancels the subscription, the Member is removed from the POD, or we suspend or terminate access under these Terms.

3.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and up-to-date registration information, and you may not create an account for another person unless you have their express permission.

  1. Eligibility and Your Commitments

In return for our commitment to provide the Service, we require that you make the following commitments to us.

4.1 Who can use the Service

  • You must be at least 13 years old, or the minimum legal age required in your jurisdiction to use the Service.
  • You must not be prohibited from receiving any aspect of the Service under applicable laws.
  • You represent and warrant that you are not located in a country or region subject to a U.S. Government embargo, and that you are not on any U.S. Government list of prohibited or restricted parties.

4.2 How you may not use the Service

  • You may not impersonate any person or entity or provide inaccurate, misleading, or outdated information.
  • You may not use the Service for any unlawful, misleading, fraudulent, or unauthorized purpose.
  • You may not violate these Terms, our policies, or applicable laws or regulations, or help or encourage others to do so.
  • You may not do anything to interfere with, impair, disrupt, or circumvent the intended operation, security, or integrity of the Service.
  • You may not misuse reporting, dispute, appeals, or support channels, including by making false, fraudulent, or groundless reports.
  • You may not attempt to create accounts or access, collect, scrape, or harvest information in unauthorized ways, including through bots, scripts, crawlers, scraping tools, or automated means without our express written permission.
  • You may not buy, sell, license, transfer, or solicit account credentials, access tokens, usernames, or data obtained from the Service.
  • You may not post or share another person’s private or confidential information without permission.
  • You may not upload or share content that is unlawful, harmful, abusive, defamatory, deceptive, infringing, or that contains malware, malicious code, or harmful components.
  • You may not reverse engineer, decompile, disassemble, modify, translate, create derivative works of, or otherwise attempt to extract source code from the Service except as expressly permitted by applicable law.
  • You may not use a domain name, URL, or identifier in a way that implies affiliation, sponsorship, or authorization by Petalz Mosaic Inc. without our prior written consent.

You represent and warrant that you own or have obtained all rights, consents, and permissions necessary to share any content you submit through the Service.

  1. Content You Share and Permissions You Give Us

You retain ownership of the photos, videos, messages, comments, task information, and other content you create, upload, or share through the Service (“User Content”).

However, in order to operate and provide the Service, you grant Petalz a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to host, store, use, reproduce, process, display, transmit, and distribute your User Content solely as necessary to operate, maintain, secure, improve, and provide the Service for you and the members of your POD, consistent with your settings and sharing choices.

This license ends when your User Content is deleted from our systems, subject to reasonable technical limitations, backup retention, legal requirements, dispute resolution needs, fraud prevention, and enforcement of our agreements.

You agree that we may download and install updates to the Service on your device where permitted by your device settings and applicable platform rules.

  1. Subscriptions, Billing, Pricing, and Account Deletion

6.1 Subscriptions

Certain features of the Service require a paid subscription. Subscriptions may be purchased through Apple’s App Store, Google Play, or web-based billing providers that we make available.

If you purchase a subscription through Apple’s App Store or Google Play, billing, renewals, and refunds are handled by that platform under its terms and policies. If you purchase through a web-based billing provider, billing, renewals, cancellations, and refunds are governed by the applicable checkout flow and payment terms presented to you at purchase.

6.2 Automatic Renewal

Unless otherwise stated at the time of purchase, subscriptions automatically renew until cancelled. You are responsible for managing your subscription through the platform or billing provider through which you purchased it.

6.3 Pricing Changes

We are committed to keeping Petalz Mosaic accessible and affordable for families, and to providing meaningful value that enriches the lives of seniors and their loved ones.

From time to time, it may be necessary to update subscription pricing. This may reflect factors such as improvements to the Service, increased infrastructure, storage and processing costs, inflation, or other business considerations.

Any pricing changes will take effect at the next billing cycle and will be communicated where required by applicable law or platform rules. Continued use of the Service after pricing changes take effect constitutes acceptance of the updated pricing.

6.4 Access Dependency

Access to certain paid features depends on an active subscription. If a subscription ends, access to some features, content, or POD functionality may be reduced, suspended, or discontinued.

6.5 Account Deletion

You may delete your account at any time through the in-app account settings or through the account deletion option available on our website or Help Center.

When your account is deleted:

Your account will be permanently removed from our active systems; and

Your associated personal data and User Content, including images, videos, messages, comments, and tasks, will be permanently deleted.

This action is irreversible. Once your account is deleted, your data cannot be recovered.

In limited circumstances, we may retain certain information where required or permitted by law, or where reasonably necessary for security, fraud prevention, dispute resolution, enforcement of our agreements, or other legitimate legal or operational purposes.

Content that has already been shared with other members of your POD may remain visible to those users within their own accounts, to the extent it has already been delivered or stored, in accordance with the design of the Service and applicable law.

We may introduce additional account management features in the future, such as the ability to temporarily disable or pause an account.

  1. Important Service Limitations

Petalz Mosaic is a communication and coordination platform. It is not a healthcare provider, emergency service, medical device, or monitoring system.

  • We do not guarantee that messages will be received, viewed, or acted upon.
  • We do not guarantee that tasks or reminders will be completed on time or at all.
  • You remain solely responsible for care decisions, supervision, medication management, emergency response, and the safety and well-being of your loved ones.
    • Content Storage and Data Loss
      While we take reasonable measures to store and protect your content, we do not guarantee that User Content will be preserved without loss, corruption, or deletion. You are responsible for maintaining your own copies of any content you consider important. To the maximum extent permitted by law, Petalz is not responsible for any loss, deletion, or failure to store User Content.
  1. Intellectual Property and Feedback

The Service, including its software, code, interfaces, features, functionality, design, text, graphics, logos, trademarks, branding, and other materials provided by Petalz, is owned by Petalz Mosaic Inc. or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws.

  • You may not copy, reproduce, distribute, sell, lease, sublicense, publicly display, publicly perform, or otherwise exploit any part of the Service except as expressly permitted by us in writing.
  • You may not use Petalz’s name, logos, trademarks, service marks, or other brand features without our prior written permission.
  • If you provide feedback, suggestions, ideas, or recommendations about the Service, you agree that we may use them without restriction, obligation, or compensation to you.

In the event of any third-party claim that the Service or your possession and use of the Service infringes that third party’s intellectual property rights, Petalz, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim, to the extent required by Apple’s applicable terms.

  1. Our Rights to Remove Content and Suspend or Terminate Access

We may remove content, restrict features, suspend accounts, terminate access, or stop providing all or part of the Service if we believe that doing so is reasonably necessary to:

  • Enforce these Terms or our policies;
  • Protect users, Petalz, or third parties;
  • Investigate or address suspected misuse, fraud, abuse, or unlawful conduct;
  • Comply with law, legal process, or requests from government authorities; or
  • Avoid or mitigate legal, security, or operational risk.

You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitation of liability, dispute resolution, and general legal terms.

  1. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETALZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, error-free, or available at all times, or that defects will always be corrected.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETALZ, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CONTENT, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETALZ’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PETALZ FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. The foregoing limitations apply even if a remedy fails of its essential purpose.

  1. Dispute Resolution, Arbitration, and Class Action Waiver

12.1 Informal Resolution

Before starting formal proceedings, you and Petalz agree to try to resolve any dispute informally by contacting the other party and providing a brief written description of the issue and the requested relief.

12.2 Arbitration

Except where prohibited by applicable law or where either party seeks injunctive or equitable relief for misuse of intellectual property or unauthorized access to the Service, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration rather than in court.

The arbitration will be conducted in Alberta, Canada, in English, before a single arbitrator, and administered by a recognized arbitration provider or under rules agreed by the parties. Judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

To the fullest extent permitted by law, you and Petalz agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, representative, or private attorney general proceeding. Unless both you and Petalz agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

12.4 Governing Law and Venue

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. To the extent a dispute is permitted to proceed in court rather than arbitration, you and Petalz submit to the exclusive jurisdiction of the courts located in Alberta, Canada, unless applicable law requires otherwise.

  1. Apple App Store, Google Play, and Third-Party Terms

This Agreement is between you and Petalz only, and not with Apple Inc. or Google. Petalz, and not Apple or Google, is solely responsible for the Service and its content.

If you use the Service on an Apple-branded device or obtain the Service through Apple’s App Store, the following additional terms apply:

  • The license granted to you is limited to a non-transferable license to use the Service on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Petalz is solely responsible for providing any maintenance and support services with respect to the Service, to the extent required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services.
  • To the extent not effectively disclaimed under these Terms, Petalz is solely responsible for any product warranties. In the event of any failure of the Service to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price for the application, if any, in accordance with Apple’s policies. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the Service.
  • Petalz, and not Apple, is responsible for addressing any claims by you or any third party relating to the Service or your possession and use of the Service, including product liability claims, claims that the Service fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, will have the right to enforce these Terms against you as a third-party beneficiary.

You must also comply with all applicable third-party terms when using the Service, including the terms of your mobile carrier, device provider, Apple, Google, and any other platform or payment provider through which you access or use the Service.

  1. Changes to These Terms

We may change these Terms from time to time to reflect changes to the Service, our business, legal requirements, or other operational needs. When required, we will provide notice before changes take effect. If you continue to access or use the Service after updated Terms become effective, you will be bound by the updated Terms.

  1. General Legal Terms

15.1 Entire Agreement

These Terms, together with any policies or supplemental terms that expressly apply to the Service, constitute the entire agreement between you and Petalz regarding the Service and supersede prior agreements or understandings relating to the same subject matter.

15.2 Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

15.3 No Waiver

If we do not enforce a provision of these Terms, that will not be deemed a waiver of our right to do so later.

15.4 Assignment and Business Changes

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. Petalz may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, financing, reorganization, or by operation of law. These Terms will bind and benefit the parties and their permitted successors and assigns.
